General Terms & Conditions

1. Scope

These General Terms and Conditions (AGB) apply to all agreements between MarsRoots UG (haftungsbeschränkt) and its customers, regarding the provision of smart vending machines and related services.

2. Conclusion of Contract

The contract is concluded when the customer accepts the offer provided by MarsRoots UG in writing (including e-mail).

3. Services

MarsRoots UG provides smart vending machines, including installation, maintenance, and restocking of products. Specific services and obligations are detailed in individual agreements.

4. Prices and Payment

Prices are specified in the respective agreements. Payments are due within 14 days of invoice receipt unless otherwise agreed in writing.

5. Delivery and Installation

Delivery and installation dates are agreed upon individually. Delays caused by unforeseeable events release MarsRoots UG from adherence to agreed deadlines.

6. Liability

MarsRoots UG is liable for damages caused by gross negligence or intentional misconduct. Liability for minor negligence is limited to foreseeable damages typical for the contract.

7. Customer Obligations

The customer is responsible for ensuring access to the installation site and providing necessary utilities such as power.

8. Warranty

MarsRoots UG guarantees the functionality of the vending machines and provides maintenance as agreed. Warranty claims must be reported immediately.

9. Termination

Contracts may be terminated by either party with a notice period of three months unless otherwise stipulated in the contract.

10. Data Protection

MarsRoots UG processes personal data in accordance with applicable data protection laws. Detailed information is available in the privacy policy.

11. Final Provisions

Amendments and supplements to the contract must be made in writing. Should any provision of these AGB be or become invalid, the validity of the remaining provisions shall not be affected.

12. Jurisdiction and Applicable Law

These terms and conditions are governed by the laws of the Federal Republic of Germany. The place of jurisdiction is Frankfurt am Main.
